# Terms & Conditions **Effective Date:** [10/08/2026] **Platform:** MillionBux4U ("Platform", "we", "us", "our") Please read these Terms & Conditions ("Terms") carefully before using this Platform. By registering an account, connecting a PAMM investor account, or otherwise using our services, you ("User", "Investor", "you") agree to be legally bound by these Terms. If you do not agree, do not use the Platform. --- ## 1. Nature of the Platform 1.1 The Platform is an **information and coordination service** that helps Users connect their independently-opened brokerage trading accounts to third-party Money/Fund Managers ("Manager(s)") who operate under a **PAMM (Percentage Allocation Management Module)** structure offered by the broker. 1.2 The Platform is **not a broker, not a bank, not a financial institution, and does not itself hold, custody, or control any User funds**. All trading capital remains, at all times, in the User's own trading account held directly with the broker (currently Vantage, or any other broker the Platform may specify from time to time). 1.3 The Platform does not execute trades, does not guarantee trading outcomes, and does not provide investment advice. All trading decisions within a PAMM structure are made by the Manager, using algorithmic/automated strategies ("Algo"), and are outside the Platform's control. 1.4 By using the Platform, you acknowledge that you are opening and operating your brokerage account directly with the broker, subject to that broker's own terms, KYC/AML requirements, and regulatory framework, which are separate from and independent of these Terms. --- ## 2. Definitions - **"PAMM Account"** – A Percentage Allocation Management Module account structure offered by the broker, allowing an Investor to allocate capital to a Manager's trading strategy while retaining account ownership. - **"Manager"** – A third-party individual/entity who trades the pooled PAMM capital using an algorithmic strategy and is compensated via a performance-based share of profit. - **"Investor"** – A User who opens a trading account with the broker, creates a PAMM investor sub-account, and allocates capital to a Manager via the Manager's PAMM link. - **"Direct Sponsor" / "Referrer"** – A User whose referral link or code was used by another User (the Manager, in this context) to register on the Platform. - **"Net Profit"** – The realized trading profit generated in the PAMM account over a settlement period, before any distribution, and after adjustment for realized losses in that same period. --- ## 3. Profit & Loss Distribution Mechanism 3.1 Profit distribution is **strictly performance-based** and calculated only on actual, realized Net Profit generated in the PAMM account during a given settlement period. 3.2 Where Net Profit is generated:   (a) **30% of Net Profit** is allocated to the Manager as a performance fee.   (b) The **remaining 70% of Net Profit** is distributed among all Investors in the PAMM account, in proportion to each Investor's capital balance relative to the total pooled balance.   (c) From the Manager's 30% performance fee, **10% of that 30% share** (i.e., 3% of total Net Profit) is further paid to the Manager's Direct Sponsor as a referral commission. 3.3 **No Profit, No Payout.** If the PAMM account does not generate a Net Profit in a given settlement period — including where trading results in a loss or a flat outcome — **no performance fee, referral commission, or profit distribution of any kind is payable to any party** (Manager, Investor, or Sponsor). No party is entitled to any fixed, minimum, or guaranteed return. 3.4 **Losses.** Any trading losses are borne directly by the Investors in proportion to their capital allocation in the PAMM account, exactly as reflected in their own brokerage account balance. The Platform, the Manager, and any Sponsor bear no liability for trading losses and are never required to reimburse, cover, or compensate an Investor's losses under any circumstance. 3.5 All profit/loss calculations, allocations, and distributions are performed and recorded through the broker's own PAMM infrastructure. The Platform may display, aggregate, or report these figures for User convenience but is not the source of settlement and does not independently verify broker-side calculations beyond what the broker's system reports. --- ## 4. No Guaranteed Returns – Risk Disclosure 4.1 **Trading in leveraged financial instruments (forex, CFDs, or similar) carries a high level of risk and may not be suitable for all investors.** You may lose part or all of your invested capital. 4.2 Past performance of any Manager, Algo, or strategy is **not indicative of future results**. No representation, warranty, or guarantee is made — expressly or impliedly — regarding profit, minimum return, capital protection, or investment outcome of any kind. 4.3 The Platform does not control, audit in real time, or guarantee the performance of any Manager's Algo or trading strategy. Users allocate capital to a Manager entirely at their own discretion and risk. 4.4 You confirm that you are participating with capital you can afford to lose, that you understand the risks of leveraged trading and PAMM allocation, and that you have not been induced by any promise of fixed, assured, or guaranteed income. 4.5 Any marketing material, projections, or illustrative figures shown on the Platform (including by any Manager or Sponsor) are for **illustration only** and do not constitute a guarantee, promise, or binding representation of future performance. --- ## 5. Referral / Sponsor Commission Terms 5.1 Direct Sponsor commissions (Clause 3.2(c)) are paid **only** from realized Manager performance fees on actual Net Profit — never from Investor principal, never from other Users' deposits, and never as a fixed joining or recruitment bonus. 5.2 No commission, bonus, or reward is payable merely for referring, recruiting, or introducing a new User. Commissions arise **solely** as a share of a Manager's earned performance fee on genuine trading profit. 5.3 The Platform reserves the right to withhold, adjust, reverse, or claw back any referral commission found to be generated through fraudulent activity, fake accounts, wash trading, self-referral abuse, or manipulation of the Algo/PAMM structure. 5.4 The referral program is not, and shall not be construed as, an investment scheme, security, collective investment scheme, or multi-level marketing income opportunity. It is a performance-based introduction fee tied strictly to a licensed/registered broker's PAMM trading outcomes. --- ## 6. Eligibility, KYC & Account Responsibility 6.1 You must be at least 18 years old (or the age of majority in your jurisdiction) and legally permitted under your local laws to engage in leveraged forex/CFD trading and PAMM investment to use this Platform. 6.2 You are solely responsible for determining whether participation in PAMM investing, algorithmic trading, and referral-based commissions is lawful in your country of residence. The Platform does not offer services in jurisdictions where such activity is prohibited or restricted, and it is your responsibility to comply with local law. 6.3 You are responsible for completing KYC/AML verification directly with the broker, and for the accuracy of all information provided. The Platform is not responsible for broker-side account approval, rejection, freezing, or verification delays. 6.4 You are solely responsible for safeguarding your login credentials, broker account access, and PAMM connection link. The Platform is not liable for losses arising from unauthorized access due to your own negligence. --- ## 7. Fees, Withdrawals & Broker Independence 7.1 All deposits, withdrawals, and capital movements occur directly between the User and the broker, through the broker's own systems and policies. The Platform does not process, hold, or control User funds at any stage. 7.2 Withdrawal timelines, minimums, processing fees, and conditions are governed entirely by the broker's policies, not by the Platform. 7.3 The Platform may charge a separate service/subscription fee (if applicable) for access to Platform tools, Manager discovery, dashboards, or reporting features. Any such fee will be disclosed separately and is not deducted from trading profit. --- ## 8. No Investment Advice / No Fiduciary Relationship 8.1 Nothing on the Platform constitutes financial, investment, tax, or legal advice. The Platform does not recommend any specific Manager, strategy, or Algo, and does not act as a financial advisor, portfolio manager, or fiduciary to any User. 8.2 You are strongly encouraged to conduct independent due diligence and, where appropriate, consult a licensed financial advisor before allocating capital to any PAMM Manager. --- ## 9. Limitation of Liability 9.1 To the maximum extent permitted by applicable law, the Platform, its owners, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to trading losses, loss of profit, loss of capital, or loss of data, arising from:   (a) trading performance or losses in any PAMM account;   (b) Manager conduct, Algo malfunction, or strategy failure;   (c) broker-side errors, delays, insolvency, or account restrictions;   (d) unauthorized access resulting from User negligence;   (e) any interruption, error, or inaccuracy in Platform reporting/dashboards. 9.2 The Platform's total aggregate liability to any User, for any claim arising out of or relating to these Terms, shall not exceed the amount of any Platform service fees (if any) paid by that User in the preceding three (3) months. --- ## 10. Indemnity You agree to indemnify and hold harmless the Platform, its owners, directors, and employees from and against any claims, losses, liabilities, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or your misuse of the Platform. --- ## 11. Anti-Fraud, Anti-Money Laundering & Account Action 11.1 The Platform reserves the right to suspend, restrict, or terminate any User account suspected of fraud, money laundering, fake referral activity, manipulation of profit-sharing calculations, or violation of these Terms, with or without prior notice. 11.2 The Platform may report suspicious activity to the relevant broker or competent authorities where legally required. --- ## 12. Amendments The Platform reserves the right to modify, update, or replace these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Platform after changes constitutes acceptance of the revised Terms. --- ## 13. Termination The Platform may suspend or terminate a User's access at its sole discretion, including for breach of these Terms, suspected fraud, or regulatory concerns. A User may also close their account at any time; however, closure of the Platform account does not affect the User's independent relationship or open positions with the broker. --- ## 14. Governing Law & Dispute Resolution 14.1 These Terms shall be governed by and construed in accordance with the laws of [Insert Country/State]. 14.2 Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably.
